Algemene Voorwaarden

1. Definitions

  • Sytac: Sytac B.V., registered at the Chamber of Commerce under number 24397725, with its registered office at Rozenstraat 1, 2011 LS Haarlem, The Netherlands.
  • Client: the natural or legal person who has entered into an agreement with Sytac or to whom Sytac has made an offer.
  • Services: all services provided by Sytac including, but not limited to, IT consultancy, software development, detachment, and project-based work.
  • Agreement: any arrangement between Sytac and the Client under which Sytac provides Services.

2. Applicability

These General Terms and Conditions apply to all offers, quotations, agreements, and services provided by Sytac, unless expressly agreed otherwise in writing. The applicability of any purchase or other conditions of the Client is explicitly rejected.

3. Offers and quotations

All offers and quotations by Sytac are without obligation unless expressly stated otherwise. Sytac is only bound by an offer if its acceptance is confirmed in writing within the period stated in the offer. Prices stated in offers are exclusive of VAT and other government levies unless otherwise indicated.

4. Execution of the agreement

Sytac shall endeavour to execute the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship. Sytac has the right to have certain work carried out by third parties. Delivery periods are indicative and shall never be regarded as strict deadlines.

5. Obligations of the Client

The Client shall ensure that all data and documents which Sytac indicates are necessary, or which the Client should reasonably understand to be necessary for the execution of the agreement, are provided to Sytac in a timely manner. The Client shall provide Sytac with the necessary facilities, including access to systems and workplaces.

6. Fees and payment

Payment must be made within 30 days of the invoice date, unless agreed otherwise. If the Client fails to pay within the agreed term, the Client shall be in default by operation of law and shall owe statutory commercial interest. All reasonable costs incurred in obtaining payment out of court shall be borne by the Client.

7. Intellectual property

All intellectual property rights to the materials, software, documentation, and other works developed or made available by Sytac under the agreement remain vested in Sytac or its licensors, unless explicitly agreed otherwise in writing. The Client receives a non-exclusive, non-transferable right of use for the duration of the agreement.

8. Confidentiality

Both parties are obliged to maintain the confidentiality of all confidential information obtained from the other party within the framework of the agreement. Information shall be deemed confidential if so designated by the other party or if it follows from the nature of the information. This obligation shall survive the termination of the agreement.

9. Liability

Sytac's total liability is limited to the amount paid out in the relevant case under its professional liability insurance, or — if no payment is made under such insurance — to the amount invoiced and paid by the Client for the relevant agreement in the 12 months preceding the event giving rise to the liability. Sytac is not liable for indirect damages, including but not limited to consequential damages, lost profits, lost savings, and damages due to business interruption.

10. Force majeure

In the event of force majeure, Sytac is not obliged to fulfil any obligation towards the Client. Force majeure includes, among other things: power failures, internet or telecommunications failures, disruptions in (IT) networks, actions by government bodies, epidemics, pandemics, natural disasters, war, strikes, and shortages of personnel or materials.

11. Duration and termination

The agreement is entered into for the period stated therein. Either party may terminate the agreement in writing, observing a notice period of at least one month, unless otherwise agreed. Sytac is entitled to terminate the agreement immediately if the Client is in breach of any essential obligation under the agreement.

12. Applicable law and disputes

These General Terms and Conditions and all agreements between Sytac and the Client are governed exclusively by Dutch law. Any disputes arising from or in connection with these terms or agreements shall be submitted to the competent court in the district of Noord-Holland, The Netherlands.
